Corporate governance monograph published

3:46 p.m., May 6, 2005--The first in a series of monographs being published by the University of Delaware’s John L. Weinberg Center for Corporate Governance and the National Association of Corporate Directors under the title Delaware Discourses: Views From the Courtroom and the Boardroom is now available.

Delaware Discourses draws its material from transcripts of candid discussions of timely corporate governance issues by noted executives, board members, academics, journalists and jurists in a course taught by Charles Elson, Edgar S. Woolard Jr. Chair and director of the Weinberg Center, in UD’s Alfred Lerner College of Business and Economics.

“We hope this publication will serve as a valuable tool for executives, directors and advisers interested in a wide range of opinions on some of the challenging corporate governances issues of the day,” Elson said.

The first issue concerns executive compensation, and future issues will consider director compensation, corporate ownership, corporate democracy, governance guidelines, director independence and institutional investor activism.

A highlight of the monograph is the inclusion of the views of jurists in the Delaware Court of Chancery and the Delaware Supreme Court who regularly participate in the UD panel discussions. Because about 60 percent of all Fortune 500 companies and fully half of the firms listed on the New York Stock Exchange are incorporated in the state, the courts play a vital role in national corporate law.
