Subject: Leases and Contracts

As the University has grown in size and complexity, so has our need to enter into contractual agreements with outside parties. Contracts can range from leases of or for space to complex agreements for services supporting our core institutional activities. It is important that all University contracts contain a variety of standard terms and conditions that will provide the University reasonable assurance that we can enforce the terms of the contract and provide appropriate protection against liability and other business risks. Persons signing agreements with outside parties should be those authorized to do so by University policy, or so delegated by those with authority.

The University Offices of Real Estate and Risk Management and the Purchasing Department have expertise and experience in negotiating and reviewing contracts. All contracts, with the exception of those entered into by the Research Office, should be reviewed by one of these offices before signing. In general, contracts where the University is purchasing or leasing goods or rvices should be reviewed by the Purchasing Department. The Office of Real Estate and Risk Management should review contracts where the University is selling goods or services, or leases of or for space. These two offices will coordinate their efforts to ensure consistency. All contracts must be reviewed, and a copy of the signed documents be retained by one of the above offices. If your unit has contracts currently in place that have not been reviewed by either of these offices, we ask that you please send them a copy for their files.
