Sale of Surplus — Terms and Conditions  
 

  By purchasing surplus property from the University of Delaware, the buyer agrees to all of the following Terms and Conditions:
  1. The successful buyer will be notified by the Procurement Services Department at the University of Delaware if his/her offer has been accepted.

  2. Payment can be in the form of cash, money order or certified check (made payable to "University of Delaware") and should be delivered to:

         University of Delaware
         Procurement Services
         General Services Building, Room 104
         222 South Chapel Street
         Newark, Delaware 19716-4750

  3. When payment is received by Procurement Services, a Bill of Sale will be processed. The Bill of Sale will stipulate that the property is offered for sale "As Is, Where Is" with no warranty or guarantee and is free of all liens and encumbrances. The buyer shall retain the Bill of Sale as proof of ownership when removing goods from University property.

  4. Property must be paid for and removed by buyer within seven (7) days of notification.

  5. Potential buyers are encouraged to inspect property offered for sale. The University of Delaware makes no warranty, expressed or implied, as to quantity, kind, year, character, quality, weight, size or description of any of the property offered for sale or its fitness for any use or purpose. All property is offered for sale "As Is, Where Is" with no warranty or guarantee as to condition. The buyer is responsible for determining the condition of property prior to making an offer.

  6. The University of Delaware reserves the right to reject any or all offers. The successful buyer must provide full payment in the accepted offer amount. No property will be released before full payment has been received. Buyer is responsible for removal costs from the University of Delaware to buyer's destination. Any other costs associated with the sale and removal shall be buyer's responsibility.

  7. Buyer shall indemnify, defend and hold harmless, the University of Delaware from and against all claims, damages, liabilities, losses and expenses, including but not limited to attorneys' fees arising out of or resulting from, in whole or in part, the purchase and removal of surplus property or the negligence of buyer. In any and all claims against the University of Delaware by any employee of buyer or anyone directly or indirectly employed by it or anyone for whose acts it may be liable, the indemnification obligation shall not be limited in any way by any limitation on the amount or type of damages, compensation or benefits payable by or for buyer or other party under workers' or workmen's compensation acts, disability benefit acts or other employee benefit acts.

  8. All transactions shall be governed by the laws of the State of Delaware.
