Directors' College focuses on corporate governance issues
 

9:45 a.m., Nov. 7, 2002--With corporate governance issues front and center in the national spotlight, the University of Delaware is offering its inaugural Directors’ College Nov. 7-9 at MBNA America Hall on the UD campus in Newark.

The Directors’ College is designed for members of the boards of directors of the 500 largest publicly listed companies and stresses important core responsibilities such as oversight of strategy, risk management and performance metrics.

The theme of the college, which is sponsored by the UD College of Business and Economics Center for Corporate Governance and PricewaterhouseCoopers LLP, is “Governance in the Spotlight: Critical Steps for Today’s Directors.”

The college will open Thursday evening, Nov. 7, with welcoming remarks by Michael J. Ginzberg, dean of the College of Business and Economics, and Richard M. Steinberg, senior partner and corporate governance leader for PricewaterhouseCoopers. Edgar S. Woolard Jr., former chairman and chief executive officer of E.I. du Pont de Nemours and Company, will deliver the keynote address for that session on “Building Long-Term Shareholder Value.”

The college will continue with programs throughout the day Friday, Nov. 8. The morning session will begin with opening remarks by John O’Connor, PricewaterhouseCoopers vice-chairman and senior partner. Harvey J. Goldschmid, recently named to the U.S. Securities and Exchange Commission, will deliver the morning keynote address on “The Board’s Role in Restoring Market Confidence.”

B. Kenneth West, senior consultant for corporate governance at TIAA-CRAF, will moderate a panel discussion on “Current Issues in Governance,” and panelists will include Alfred C. DeCrane Jr., former chairman and chief executive officer of Texaco. After the panel discussion will be roundtable sessions led by Grady E. Means, managing partner of IBM Business Consulting Services; Robert G. Eccles, founder and president of Advisory Capital Partners; Charles M. Elson, Woolard Professor and director of the UD Center for Corporate Governance; and Juan A. Pujadas, partner-in-charge of the global financial risk management practice of PricewaterhouseCoopers.

Raymond S. Troubh, former governor of the American Stock Exchange and former general partner of Lazard Freres and Co. LLC, will deliver the lunchtime keynote address on “Governance Under Fire.” Roundtable sessions will continue in the afternoon, followed by a panel discussion, entitled “Focus on Audit Committees and Issues, ” moderated by Elson.

William B. Chandler III, chancellor of the Delaware Court of Chancery, will deliver the dinner keynote address on Friday. His topic will be “The Law’s Evolving Consideration of Board Roles.”

The Saturday, Nov. 9, sessions will open with roundtable discussions. Journalist John A. Byrne, a senior writer with Business Week magazine, will deliver a keynote address on “Governance in the Eyes of Observers” at 10:45 a.m.
